I have a 5.1 85W suround sound system
which is a downgrade from my old 18 speaker 4 subwoofer 450W system
but I moved into an apartment and they didnt like the noise
tell me whatcha think of my rig, where should i upgrade next? i am thinking razor headset? oh and 3.1Ghtz is OCed (2.7Ghtz originally) the 250 gts is OCed as well from 751

You don't tell the cpu exact model, anyway the cpu and gpu are the ones you should upgrade first. Maybe psu also if you value your components.
AMD Athlon 64 x2 5000+ is the cpu model. I am content with a dual core 3.1Ghtz for now. as for the gpu I don't have $300-$400 to spend on the extra 100-300mhtz 512mb. My psu should do me fine for at least another year, my recommended wattage for my current components 349W and only 419W with 100% TDP, 100% load, 30% cap aging.
That's a descent overclock for a 5000+. I was able to get my BE on another board to 3.4ghz, but it wasn't stable in all weather conditions so I dropped it down to 3.2ghz.

Nothing to do with xp, it's 32-bit OS what makes the limitation. Any 32-bit windows can't allocate more than 4 gigs, from which part is reserved to hardware addresses etc. Basically depending on your system you end up having ~3 gigs of ram.
It's not about wattage really, the brand just implicates to some cheap oem quality.
If your mobo support Phenom II cpus, they would bring very noticeable performance boost.
Gpu is still fine for most games if you don't use maximum settings, low vram amount limits AA/AF usage performance with that resolution.
OP...I think you should spend the money and get Win7 64bit and really get your full use outta that PC! You get DX11 and it really makes your games look noticably better.

Also, more and more games are being recommended to use Quad Core, (GTA 4 was one of the first i think) i had an AMD 5600+ and a HD4870 1gb back then, and GTA 4 was pretty heavy, the CPU's load was on 99% and the Frames were pumping down heavily, i then bought an Intel Core i7 920 and everything went ALOT smoother, including in other games.
Your videocard is decent, but i dont know if you're a person that wants everything maxed out, if you are a person like that then you also need a better videocard.
I am not looking for maxed out top of the line stuff. I do spend a lot of time surfing around looking for deals on upgrades. but i couldn't seem to think of anything else i could look for to enhance my game play without maxing my card. maybe windows 7 isn' t a bad idea. i was just posting to see what others thought of my rig and to get an idea of what was lacking. my computer is as much about performance as it is art at least for me.

You should either go with a new video card or a new processor, you will definitely notice the difference for either of those purchases.

instead of a better, faster, stronger, and costlier graphics card what if i ordered a 2nd gts 250? i do have the extra 2x3 hanging off my psu and an empty pci-e slot... just thinking out loud here that i could get more bang for my buck and keep a nice card from rotting away in an anti-static bag on a shelf. input?

I am running windows xp home 32 bit. I have used vista and im just more comfortable with xp. its what i grew up on, what im comfy with. but if its holding me back guess im going to be getting friendly with 7. which i did try the beta for and i didn't think it was all that bad.
Don't get another card, one single faster card is always better than 2 slower ones. With your resolution a card with 1 gig memory is almost a must. OS change doesn't bring improvements to game performance but can be much better on other usage.
