I am assuming I gonna need to replace my CPU, ram, GPU?
I want to be able to run D3 and GW2 at medium setting I guess.
During GW2 beta my system was getting like 5-10fps at best.
How much would I need to save up to reach my goal?

I have the same motherboard and same cpu with 4 gigs ram. Awhile ago I got a nvidea 460 se vid card. I ran gw2 at 1920 x 1080 on balanced settings fine, with some slowing down with a massload of people.
I'm in the same boat as you to upgrade, but I may hold off as I feel there is currently no need to rush. I'm no expert but you may just want to up ram to 8 gig total with a new vid card and you should be fine.
If you're happy with medium settings, then I'd think that you should be fine with your rig as is. If that's only getting you 5 frames per second at medium settings in GW2, then something is broken. Maybe some hardware is overheating, maybe you're still running beta video drivers from 2008, maybe you've got a bunch of bloatware in the background eating up memory, or maybe the Guild Wars 2 engine simply isn't working right yet, which is why it's still in closed beta.
I would recommend replacing the power supply by something a lot better, and also getting an SSD (to nearly eliminate loading times) if it fits your budget. The video card is roughly equivalent to a Radeon HD 6770 or 7750, either of which are around $110 today. If you want to upgrade the processor, then you'll also need a new motherboard, memory, and OS license, and that can easily total $500.
