I have to give the opposite assessment from the OP. The question it seems to me is not why Lucasarts would want anything to do with SOE. The question is why would SOE want anything to do with Lucasarts?
Everything good in the game has come from SOE. Everything bad has come from Lucasarts trying to play "MMO Dev" when they know nothing about MMOs (holocrons, CU, NGE, etc.) Furthermore, it is not Lucasarts name that is getting much of the bad rep in online gaming here. It will go on as it always has. But SOE? It has Everquest to think about, and other online gaming projects.
It is SOE that has to put forth the effort to staff CS. It is SOE who has to develop and maintain the thing. It is SOE who has to keep the servers on. But LucasArts? They do nothing except demand their checks, demand oversight, and demand to put their thumb in developmental affairs whenever anyone there has a concern--whether they know what they are doing or not.
So I think the greater concern here is not if LA wants anything to do with SOE. After all, if I were LA, I would want SOE to do all the dirty work and spend all the capital outlay just like they are doing now. It costs me very little, gives me ultimate creative control, and gives me a punching bag to hide behind when something goes wrong. It gives me all the advantages of running an MMO, without any of the liabilities and responsibilities.
But if I were SOE, and I see how in Everquest 2:
1) I don't have to run everything by outside people every time I make a change.
2) I don't have people at LA taking liberties with my reputation as an online entertainment provider by coming up with wild changes that I know will fail.
3) I don't have to walk on eggshells not wanting to upset LA to the point of pulling the plug.
4) I get all the take from Everquest 2 subs, and other revenue generating ideas (adds, /pizza, Station Exchange), that LA has either rejected, or I have to massage needlessly.
5) I have the same expenses running SWG as I do EQ2 (maybe more), but I have less revenue to show for it in SWG, since I have to write out checks to LA.
6) I don't have to rush out shoddy workmanship I know I'll get panned for in Everquest 2. I can take my time. But with SWG, I have to rush out ROTW and TOOW, do continuity breaking movie tie-ins, and all other crap I know will fail because the people at LA get a bug up their behind about promoting box office and DVD releases.
7) I have full rights to EQ2. But I know that the people at LA can and will pull out of SWG like a teenage date without a condom, leaving me to deal with the fallout of a closing game.
8) When LA screws up SWG, it is not LA that gets hurt. Its SOE that gets hurt, because we are the ones that have this as our business.
So you see, I don't think we should be asking ourselves if LA wants anything to do with SOE. I think the more important question is if SOE wants anything more to do with LA. SOE just doesn't have as much to worry about by developing proprietary assetts, or working with companies that have a "hands off" oversight approach (Disney, and DC).
